GENERAL TERMS AND CONDITIONS OF SALE

    Last updated: October 2026

Article 1 — Seller and Scope

These General Terms and Conditions of Sale (the "Terms") govern sales made through www.yumalyparis.com by:

VISIONMODE SAS, trading as YUMALY (hereinafter "YUMALY"), Société par actions simplifiée with share capital of €20,000, Registered office: 101 rue de Sèvres, 75006 Paris, France, SIREN: 531 168 763, RCS Paris: 531 168 763, VAT number: FR01 531168763, Email: customercare@yumalyparis.com, Telephone: +33 1 71 27 35 72.

YUMALY offers clothing, knitwear, accessories and related care products for sale to consumers purchasing for their personal use.

These Terms apply to all orders placed through the YUMALY website. They apply to the exclusion of any other terms unless otherwise expressly agreed in writing.

The customer confirms that they have the legal capacity to enter into a contract and to place an order through the YUMALY website.

By placing an order, the customer confirms that they have read and accepted these Terms before completing the purchase.

The version of the Terms applicable to an order is the version available on the website at the time the order is placed. Any subsequent amendment will not affect orders already concluded.

    Article 2 — Products

The essential characteristics of each product, including its composition, colour, size, dimensions where relevant, care information and price, are presented on the relevant product page.

YUMALY takes reasonable care to ensure that product descriptions, photographs and other information displayed on the website are accurate. However, colours may appear slightly differently depending on the customer's screen and display settings. Minor variations inherent to natural fibres, craftsmanship or production do not in themselves constitute defects.

Customers are responsible for reviewing the product description and size information before placing an order.

YUMALY may from time to time offer personalised or made-to-order products. Where such products are offered, their specific characteristics, price, estimated production time and any specific conditions applicable to the order will be indicated before the customer places the order.

YUMALY may modify its collections or discontinue products at any time without affecting orders already confirmed.

    Article 3 — Product Availability and Pre-orders

Products are offered for sale subject to availability.

Stock information displayed on the website is updated as accurately as reasonably possible. In exceptional circumstances, a product may become unavailable after an order has been placed.

If an ordered product is unavailable, YUMALY will inform the customer as soon as possible. The unavailable product will be cancelled and any corresponding amount already paid will be refunded without undue delay.

The fact that an item has previously been sold by YUMALY does not guarantee that it will be restocked.

YUMALY may from time to time offer products for pre-order. A pre-order concerns a product that is not yet available for immediate dispatch. The estimated availability or dispatch date, together with any specific payment terms, will be indicated on the relevant product page or at checkout before the order is placed.

Unless expressly stated otherwise, pre-order availability and dispatch dates are estimates. If the expected timing changes materially, YUMALY will inform the customer as soon as reasonably possible. The customer's statutory rights, including rights relating to late delivery, remain unaffected.

    Article 4 — Orders

Customers select the products they wish to purchase and add them to their shopping bag.

Before submitting an order, the customer has the opportunity to review the selected products, quantities, delivery information and total price and to correct any errors.

By completing the checkout process and confirming payment, the customer submits an order with an obligation to pay and accepts these Terms.

After the order has been placed, YUMALY sends an electronic order confirmation to the email address supplied by the customer.

YUMALY may refuse or cancel an order for a legitimate reason, including product unavailability, refusal of payment by the payment provider, suspected fraud, manifest pricing error, abnormal quantities suggesting resale or a previous unresolved payment dispute. Where payment has already been collected for a cancelled order, the relevant amount will be refunded.

Orders are intended for personal use. Products purchased from YUMALY may not be purchased for commercial resale without YUMALY's prior written consent.

Article 5 — Prices, VAT, Duties and Taxes

Prices are those displayed on the website at the time the order is placed.

Prices include VAT where applicable according to the delivery destination. Any applicable delivery charge is displayed before the customer confirms the order.

YUMALY reserves the right to change its prices at any time, but such changes do not affect orders already confirmed.

For orders delivered outside the European Union, the tax treatment depends on the destination.

Where indicated at checkout, orders to the United Kingdom and Switzerland may be shipped Delivered Duty Paid (DDP). In such cases, applicable import duties and taxes are included in the amount paid at checkout, so no additional import duties or taxes should be payable by the customer upon delivery.

For other destinations outside the European Union, prices are displayed excluding French VAT. Local import VAT, sales tax, customs duties, customs-clearance charges or carrier handling fees may apply and may be payable by the recipient upon import or before delivery.

Further information is set out in the YUMALY Shipping & Returns Policy.

Article 6 — Payment, Promotional Benefits and Gift Cards

Payment is due when the order is placed, unless a different payment schedule is expressly indicated before the customer confirms the order.

The payment methods currently accepted are displayed at checkout and may include payment cards and other electronic payment methods made available through YUMALY's payment providers.

Payment information is processed through secure payment systems. YUMALY does not receive or retain complete payment-card information where this is processed directly by the relevant payment provider.

YUMALY may carry out or request payment-security checks where reasonably necessary to prevent fraud.

If payment is refused or cannot be authorised, the order may not be completed.

YUMALY may make instalment, deferred-payment or other third-party payment solutions available from time to time. Where such a service is offered, any provider-specific terms, eligibility requirements and applicable charges will be displayed or made available before the customer confirms the payment. Use of such services may be subject to approval by the relevant payment provider.

Promotional codes, promotional credits, referral rewards and loyalty benefits are subject to the specific conditions communicated with the relevant offer, including any eligibility criteria, validity period, minimum spend, exclusions and rules on combination with other offers. Unless otherwise stated or required by applicable law, such benefits have no cash value, may not be applied retrospectively to an order already placed and may expire in accordance with the conditions communicated with the offer.

    Gift Cards

YUMALY may offer physical and/or electronic gift cards from time to time. The value, currency, validity period, delivery method, eligible sales channels and any specific conditions applicable to a gift card will be indicated at the time of purchase.

Gift cards may be used in one or more transactions up to the remaining available balance. Where the value of an order exceeds the available balance, the difference may be paid using another payment method accepted by YUMALY.

Gift cards may not be used to purchase another gift card. Except where required by applicable law, gift cards cannot be exchanged for cash or refunded for cash, whether in whole or in part.

Any statutory right of withdrawal applicable to the purchase of a gift card remains unaffected by these Terms.

Where an electronic gift card is sent directly to another person, the purchaser is responsible for providing accurate recipient information. Gift cards and gift-card codes should be kept secure. YUMALY cannot be responsible for non-receipt caused by incorrect information supplied by the purchaser or the recipient's email settings, or for loss, theft or unauthorised use not attributable to YUMALY, without prejudice to mandatory consumer rights.

Where a product purchased using a gift card is validly returned, any refund due will normally be credited back to the gift card used for the purchase and/or refunded to the other original payment method, as applicable, without prejudice to the customer's statutory rights.

Article 7 — Delivery and Collection

Orders are delivered to the delivery address supplied by the customer when placing the order.

All orders placed on a business day are prepared in YUMALY's Paris warehouse and are generally dispatched within 1 to 2 business days, unless otherwise stated on the product page or during checkout.

The available delivery methods, estimated delivery times and applicable charges are displayed at checkout according to the destination.

YUMALY currently offers, depending on destination and eligibility, Chronopost pickup-point delivery, Chronopost Classic home delivery, Chronopost Express and DHL Express.

Where collection from a YUMALY location, showroom, pop-up or other collection point is offered, the available collection location, estimated collection timing and any specific collection conditions will be indicated at checkout or in the order confirmation. YUMALY may request reasonable proof of identity or order confirmation when the order is collected.

YUMALY may split an order into more than one parcel where reasonably necessary. The customer will not be charged additional delivery fees solely because YUMALY has chosen to split the order.

Delivery times stated on the website are estimates after dispatch and may be affected by weekends, public holidays, customs procedures, remote locations or circumstances outside YUMALY's reasonable control.

Where no particular delivery date or period has been agreed, French consumer law provides that the goods must be delivered without undue delay and no later than 30 days after conclusion of the contract.

If YUMALY fails to deliver within the agreed period, the customer may exercise the remedies provided by applicable consumer law, including requesting delivery within a reasonable additional period and, where the applicable conditions are met, terminating the contract. Where applicable law permits immediate termination, no additional period is required. In the event of a valid termination for late delivery, YUMALY will refund the sums paid under the contract within 14 days.

Full details are set out in the YUMALY Shipping & Returns Policy, which forms part of the contractual information applicable to the order.

Customers must provide accurate and complete delivery information. YUMALY cannot be responsible for delays caused by incorrect or incomplete information supplied by the customer, without prejudice to the customer's statutory rights.

Article 8 — Transfer of Risk and Ownership

Risk of loss of or damage to the goods passes to the customer when the customer, or a third party designated by the customer other than the carrier, takes physical possession of the goods, in accordance with applicable consumer law.

Where the customer independently appoints a carrier that was not proposed by YUMALY, risk may transfer in accordance with the applicable statutory rules when the goods are handed to that carrier.

Ownership of the products remains with YUMALY until full payment of the purchase price has been received.

Article 9 — Cancellation, Right of Withdrawal and Returns

A customer purchasing online as a consumer has a statutory right to withdraw from the contract within 14 calendar days of receiving the order, without having to give a reason. Where products from the same order are delivered separately, the period begins when the last product is received.

The customer may exercise the right of withdrawal by using the online functionality made available through the YUMALY website, by emailing customercare@yumalyparis.com with an unambiguous statement of the decision to withdraw, or by using the model withdrawal form contained in YUMALY's Returns & Withdrawal Policy.

After notifying YUMALY of the decision to withdraw, the customer must return the goods within 14 days.

The statutory right of withdrawal does not apply in the cases excluded by applicable law, including, where relevant, goods made to the customer's specifications or clearly personalised, and sealed goods which are not suitable for return for health-protection or hygiene reasons once unsealed.

Customers may use YUMALY's prepaid return label or arrange return shipment themselves. If YUMALY's prepaid return service is used, the disclosed return-shipping contribution is deducted from the refund: currently €8 for returns from Europe and €15 for returns from outside Europe, subject to the exceptions stated in the Returns & Withdrawal Policy.

The contribution does not apply to damaged, defective or incorrect items.

Returned goods may be handled only to the extent necessary to establish their nature, characteristics and functioning. The customer may be responsible for diminished value resulting from handling beyond what would reasonably be permitted when examining the goods in a shop.

Following a valid exercise of the right of withdrawal, YUMALY will refund the amounts due without undue delay and no later than 14 days after being informed of the customer's decision. YUMALY may withhold reimbursement until the goods have been received back or the customer supplies evidence that they have been sent, whichever occurs first.

If the customer chose a delivery method more expensive than YUMALY's standard delivery option, YUMALY is not required to refund the additional delivery cost.

Full conditions, return instructions and the model withdrawal form are set out in the YUMALY Returns & Withdrawal Policy, which should be read together with these Terms.

    Article 10 — Legal Guarantees

YUMALY remains responsible for the statutory guarantees applicable to products sold to consumers.

In particular, customers benefit from the French legal guarantee of conformity and the legal guarantee against hidden defects, where applicable. Under the legal guarantee of conformity, the seller is responsible for lack of conformity existing at the time of delivery that becomes apparent within two years from delivery.

Where the statutory conditions are met, the customer may be entitled to repair or replacement without charge and, in circumstances provided by law, a price reduction or termination of the contract. The customer also benefits from the legal guarantee against hidden defects under Articles 1641 to 1649 of the French Civil Code.

Under the legal guarantee of conformity, the consumer has a period of two years from delivery of the goods to obtain the implementation of the legal guarantee of conformity in the event of a lack of conformity. During this period, the consumer is only required to establish the existence of the lack of conformity and not the date of its appearance.

The legal guarantee of conformity entails an obligation for the professional, where applicable, to provide all updates necessary to maintain the conformity of the goods. The legal guarantee of conformity gives the consumer the right to repair or replacement of the goods within thirty days of their request, free of charge and without major inconvenience. If the goods are repaired under the legal guarantee of conformity, the consumer benefits from a six-month extension of the initial guarantee.

The consumer may obtain a reduction in the purchase price by keeping the goods or terminate the contract by obtaining a full refund against return of the goods, if: 1° The professional refuses to repair or replace the goods; 2° The repair or replacement of the goods occurs after a period of thirty days; 3° The repair or replacement of the goods causes major inconvenience to the consumer; 4° The lack of conformity of the goods persists despite the seller's unsuccessful attempt to bring them into conformity.

The consumer is also entitled to a reduction in the price of the goods or to termination of the contract where the lack of conformity is so serious that it justifies immediate reduction in price or termination. The consumer is not entitled to termination of the sale if the lack of conformity is minor. Any period of immobilisation of the goods for repair or replacement suspends the guarantee remaining to run until the goods are delivered in repaired condition.

The rights mentioned above result from the application of Articles L. 217-1 to L. 217-32 of the French Consumer Code. A seller who obstructs in bad faith the implementation of the legal guarantee of conformity incurs a civil fine of a maximum amount of 300,000 euros, which may be increased to up to 10% of average annual turnover (Article L. 241-5 of the French Consumer Code). The consumer also benefits from the legal guarantee against hidden defects under Articles 1641 to 1649 of the French Civil Code, for a period of two years from the discovery of the defect. This guarantee gives the right to a price reduction if the goods are kept or to a full refund against return of the goods.

These statutory guarantees are independent of YUMALY's commercial returns policy and of the 14-day right of withdrawal.

To make a claim under a statutory guarantee, the customer may contact: YUMALY Customer Care, VISIONMODE SAS, 101 rue de Sèvres, 75006 Paris, France. Email: customercare@yumalyparis.com. Telephone: +33 1 71 27 35 72.

    Article 11 — Liability

YUMALY is responsible for the proper performance of its obligations under the contract in accordance with applicable law.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, or any mandatory rights available to consumers.

YUMALY is not responsible for failure or delay resulting from circumstances attributable to the customer, the unforeseeable and unavoidable act of a third party to the contract, or a force-majeure event, to the extent permitted by applicable law.

The customer is responsible for following the care instructions supplied with the product. Normal wear, accidental damage, improper care or use inconsistent with the product's intended purpose does not constitute a manufacturing defect, without prejudice to the customer's statutory rights.

    Article 12 — Personal Data

Personal data collected in connection with orders and use of the website is processed in accordance with YUMALY's Privacy Policy and applicable data-protection law, including the General Data Protection Regulation (GDPR).

The Privacy Policy explains the purposes for which personal data is processed, the legal bases for processing, the recipients of the data, retention periods and the rights available to individuals.

    Article 13 — Intellectual Property

The YUMALY name, trademarks, logos, designs, photographs, videos, text, graphics, product names, website content and other intellectual-property elements displayed on the website are protected by applicable intellectual-property laws.

No part of the website or YUMALY content may be reproduced, distributed, modified or used for commercial purposes without prior authorisation from the relevant rights holder, except where permitted by law.

Purchase of a YUMALY product does not transfer any intellectual-property rights associated with the brand, designs or creative content.

    Article 14 — Force Majeure

Neither party will be liable for a failure or delay in performing an obligation where performance is prevented by an event constituting force majeure under applicable French law.

Where such circumstances temporarily prevent performance, the affected obligation will be suspended for the duration of the impediment.

    Mandatory consumer rights remain unaffected.

Article 15 — Applicable Law and Language

These Terms and all sales concluded through the YUMALY website are governed by French law.

This choice of law does not deprive a consumer residing in another country of any mandatory consumer protections afforded by the law of their country of residence where those protections apply.

The official version of these Terms is the French-language version. An English translation is provided for convenience. In the event of a discrepancy between the French and English versions, the French version will prevail, subject to any mandatory rights available to the customer.

Article 16 — Complaints, Consumer Mediation and Disputes

For any question or complaint concerning an order, customers should first contact: YUMALY Customer Care. Email: customercare@yumalyparis.com.

YUMALY will endeavour to resolve complaints directly with the customer.

If a consumer dispute cannot be resolved following a prior complaint to YUMALY, the customer may refer the dispute free of charge to YUMALY's designated consumer mediator: CM2C — Centre de la Médiation de la Consommation de Conciliateurs de Justice, 49 rue de Ponthieu, 75008 Paris, France. Website: www.cm2c.net.

Mediation is optional and does not prevent either party from bringing proceedings before a competent court.

Any dispute that cannot be resolved amicably will be submitted to the courts having jurisdiction under the applicable rules of consumer law.
